Terms of Service

1. Overview
These Terms of Service govern your access to and use of the Quadsale website, mobile applications, and related services (collectively, the “Service”). By using the Service, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the Service.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Operator Information and Legal Notices
Quadsale is operated by Quadsale App. Quadsale is a campus-scoped marketplace that helps users at an eligible campus discover listings and connect for offline, in-person transactions.

3. Eligibility and Account Requirements
To use the Service, you must:
- be at least 18 years old and legally able to enter into a binding contract
- be a student, employee, or other person we permit to use an eligible campus marketplace
- register with accurate, current information and keep it updated
- use a school-issued or otherwise institution-approved email address that matches a campus we support or approve
- not have been previously suspended or removed from the Service unless we agree otherwise
We may verify eligibility, deny registration, require additional information, or suspend or terminate access if we believe you do not meet these requirements.
You are responsible for safeguarding your credentials and for all activity that occurs under your account. You may not share your account, create accounts for other people, or use multiple accounts to evade moderation or enforcement.
4. How Quadsale Works
Quadsale is a discovery and connection platform only. It is not a payments, shipping, escrow, fulfillment, insurance, authentication, or buyer-protection service.
- No payment processing. Buyers and sellers arrange and complete payment directly with each other offline.
- No shipping. Quadsale is designed for local, in-person exchange.
- In-app messaging. Users can message sellers directly within the app to coordinate meetups.
- Not a transaction party. Quadsale does not own, take custody of, inspect, broker, or guarantee listed items or transactions.
Every purchase, sale, meetup, inspection, payment method, and exchange is solely between the users involved.
5. Listings, User Content, and the Limited License You Give Quadsale
You are solely responsible for the listings, profile information, contact methods, images, descriptions, and other content you submit to the Service.
- you own the content you post or have the rights needed to post it
- you own the item, are authorized to sell it, or otherwise have the legal right to offer it
- the listing is accurate, current, and not misleading
- the content does not infringe another person's rights or violate law, campus policy, or these Terms
You keep ownership of your content. But to operate the Service, you give Quadsale a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, display, transmit, and otherwise use that content only as needed to provide, maintain, secure, moderate, and improve the Service. This includes creating thumbnails and previews, caching content, storing backups, investigating abuse, and displaying active listings inside the Service.
Active listings may also generate limited technical previews, such as a title, category, condition, generic description, or preview image for search results, share cards, or link previews. That license lasts only while the content is on the Service and for a reasonable period afterward to allow backups, legal compliance, dispute review, and abuse-prevention records to wind down.
We do not need and are not claiming a perpetual or irrevocable right to use ordinary user listings outside those service-operation purposes.
6. Marketplace Safety and Offline Transaction Responsibilities
Because transactions happen offline, you assume the risks of meeting another user, exchanging payment, and assessing an item.
- inspect the item yourself before paying or completing the exchange
- verify the other user, the item's condition, and the seller's apparent right to sell it
- choose a safe, public, and legally permitted meetup location and follow campus safety guidance where available
- use payment methods, pickup arrangements, and communication channels you are comfortable with at your own risk
- comply with campus rules, local laws, and any item-specific transfer restrictions
Quadsale does not independently verify ownership, authenticity, working condition, title, value, or safety of listed items, and it does not screen every user interaction for fraud or dangerous behavior.
If you believe a listing, seller, or transaction is unsafe, illegal, fraudulent, or otherwise suspicious, report it promptly. We may remove content, restrict an account, preserve records, or cooperate with law enforcement when appropriate.
7. Prohibited Items and Conduct
Prohibited items
- firearms, ammunition, weapon components, explosives, fireworks, and similar dangerous items
- alcohol, tobacco, nicotine products, vaping products, cannabis where unlawful, controlled substances, drug paraphernalia, and prescription medications
- stolen property, counterfeit goods, recalled items, hazardous chemicals, unsafe products, or items subject to a legal sales restriction you cannot satisfy
- government IDs, passports, student IDs, keys, access cards, parking permits, meal-plan access, tickets, or credentials transferred in violation of issuer or campus rules
- animals, human remains or body parts, sexually explicit goods or services, or any item whose sale is illegal or plainly inappropriate for a campus marketplace
- materials offered for academic cheating, account takeover, surveillance abuse, or other unlawful use
Prohibited conduct
- posting false, deceptive, or misleading listings
- impersonation, fraud, scams, price manipulation, bait-and-switch tactics, or theft
- harassment, threats, stalking, discrimination, intimidation, coercion, or unsafe in-person conduct
- scraping, harvesting, or misusing other users' information without authorization
- spam, unsolicited marketing, bots, automated account creation, or interference with security features
- attempting to bypass moderation, suspensions, campus restrictions, or other service controls
We may remove any content or restrict any activity that we reasonably believe is unsafe, illegal, misleading, abusive, or inconsistent with the intended use of a campus marketplace, even if it is not specifically listed above.
8. Moderation, Reports, Suspension, and Termination
Listings and accounts may be reviewed before or after they become visible. We may act based on user reports, automated safety signals, moderation review, legal complaints, or our own investigation.
Possible actions include:
- rejecting or removing a listing
- limiting visibility or temporarily hiding content while we review it
- warning a user or requesting additional information
- suspending or terminating an account
- revoking moderator privileges or other elevated access
- preserving evidence and referring matters to law enforcement or campus authorities when appropriate
We are not required to explain every moderation decision or provide a formal appeal process. You may still contact [email protected] or [email protected] to request reconsideration, but we are not required to reverse an enforcement decision.
If your account is suspended, terminated, or deleted, your right to use the Service ends immediately, active sessions may be revoked, listings may be removed or hidden, and data may be retained as described in the Privacy Policy.
9. Copyright Complaints and Repeat Infringers
We respect copyright and expect users to do the same. If you believe content on the Service infringes your copyright, send a notice to [email protected].
A copyright notice should include:
- your physical or electronic signature
- identification of the copyrighted work you claim has been infringed
- identification of the material you want removed and enough information for us to locate it
- your name, mailing address, telephone number, and email address
- a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law
- a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act for the copyright owner
If we remove content in response to a complaint, we may notify the affected user. If that user believes the content was removed by mistake or misidentification, the user may send a counter-notice that includes:
- the user's physical or electronic signature
- identification of the removed material and where it appeared before removal
- a statement under penalty of perjury that the user has a good-faith belief the material was removed by mistake or misidentification
- the user's name, address, telephone number, and email address
- a statement consenting to the jurisdiction of the federal district court for the district where the user lives, or a Delaware federal court if the user lives outside the United States, and agreeing to accept service from the complaining party
If we receive a valid counter-notice, we may restore the content after at least 10 business days and no more than 14 business days unless the complaining party tells us it has filed a court action seeking to restrain the allegedly infringing activity.
We may terminate accounts of repeat infringers and may also act against users who submit fraudulent or abusive copyright notices or counter-notices.
10. Privacy, Cookies, and Service Communications
Our Privacy Policy explains how we collect, use, disclose, and retain personal information. It is incorporated into these Terms.
We use essential cookies and similar storage needed to run the Service. Analytics and other non-essential technologies are handled through the choices described in the Privacy Policy.
The Service uses third-party advertising and analytics technologies, including the Whop advertising pixel, to measure and attribute the performance of our marketing. These technologies load by default and can be turned off at any time, and their use may be considered a “sale” or “sharing” of personal information for cross-context behavioral advertising under certain laws. You can opt out at any time, including through a Global Privacy Control signal, as described in the Privacy Policy. California residents have additional rights described in that same section.
We may send you service-related emails or other communications about account access, verification, safety, listings, policy updates, and operational issues. If we begin sending optional marketing messages, we will provide any consent and opt-out choices required by law.
11. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Quadsale disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade.
In particular, Quadsale does not warrant that:
- the Service will be uninterrupted, secure, or error-free
- listings are accurate, complete, lawful, or still available
- users are who they claim to be or are acting honestly
- items are authentic, safe, functional, or legally transferable
- offline meetings or transactions will be safe or successful
12. Limitation of Liability
To the maximum extent permitted by law, Quadsale and its officers, directors, employees, contractors, affiliates, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunity arising out of or related to the Service.
Quadsale is also not liable for losses arising from user conduct, item condition, payment disputes, theft, fraud, scams, campus-policy violations, personal injury, or damage connected to in-person meetings or offline transactions.
If we are found liable to you, our total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of $100 or the amount you paid us, if any, during the 12 months before the event giving rise to the claim.
13. Indemnification
You will defend, indemnify, and hold harmless Quadsale and its officers, directors, employees, contractors, affiliates, and service providers from and against claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your content, your listings, your transactions with other users, your misuse of the Service, or your breach of these Terms or applicable law.
14. Dispute Resolution and Arbitration
Please read this section carefully. Subject to the exceptions below, most disputes between you and Quadsale must be resolved through individual binding arbitration.
Informal dispute resolution first
Before starting arbitration, each party agrees to send the other a written notice of dispute describing the issue and the requested relief. Send notices to [email protected]with the subject line “Dispute Notice.” If we cannot resolve the dispute informally within 60 days after notice is received, either party may start arbitration.
Arbitration rules and forum
Any dispute arising out of or relating to these Terms or the Service will be resolved by the American Arbitration Association under its Consumer Arbitration Rules, as modified by these Terms. The Federal Arbitration Act governs the interpretation and enforcement of this section.
Arbitration may be conducted on the papers, by video conference, by telephone, or through an in-person hearing if the arbitrator or the AAA rules require one. Any in-person hearing will take place in the county where you live or another mutually agreed location, unless the parties agree otherwise.
AAA filing, administration, and arbitrator fees will be allocated under the AAA Consumer Arbitration Rules and applicable law. Quadsale will pay fees required to keep this arbitration agreement enforceable.
Exceptions
- Either party may bring an individual claim in small claims court if the claim qualifies and remains there.
- Either party may seek temporary, preliminary, or injunctive relief in court to protect intellectual property, confidential information, or against unauthorized access, fraud, or abuse of the Service.
Class action and jury-trial waiver
You and Quadsale agree to bring claims only on an individual basis and not as a plaintiff or class member in any purported class, consolidated, representative, or private-attorney-general action. To the extent allowed by law, each party also waives any right to a jury trial.
Opt-out right
You may opt out of this arbitration section by sending an email to [email protected] within 30 days after you first accept these Terms. Your opt-out notice must include your full name, the email address associated with your account, and a clear statement that you want to opt out of arbitration.
Severability for arbitration
If the class-action waiver is held unenforceable for a particular claim, that claim must proceed in court and not in arbitration. If any other part of this section is held unenforceable, the remaining parts will still apply.
15. Governing Law
Except to the extent the Federal Arbitration Act controls, these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.
For disputes that may be brought in court under these Terms, you and Quadsale consent to the exclusive jurisdiction of the state and federal courts located in Delaware, except where applicable law gives you the right to proceed elsewhere.
16. Miscellaneous
- We may update these Terms from time to time. If changes are material, we will post the revised Terms and update the "Last updated" date, and we may provide additional notice.
- These Terms, together with the Privacy Policy and any other policies expressly incorporated here, are the entire agreement between you and Quadsale about the Service.
- If a provision is unenforceable, the remaining provisions remain in effect.
- You may not assign these Terms without our prior written consent. We may assign them in connection with a reorganization, financing, acquisition, or sale of assets.
- Any provisions that should survive by their nature, including provisions on content rights, dispute resolution, disclaimers, limitations of liability, indemnification, and enforcement, will survive termination.
